This includes preparation of documents needed by these entities in connection with their governance, such as stockholder agreements, operating agreements, partnership agreements, employment agreements and covenants not to compete.
The Firm also regularly represents clients in merger, acquisition and divestiture transactions and commercial loan transactions, including syndicated loans and subordinated debt. The Firm regularly negotiates, prepares and reviews business contracts, service agreements and schedules of work, indemnity agreements and licensing agreements. We also regularly represent business executives in connection with their employment agreements and severance agreements.
